Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Diagnostics mobile application (“App”), related web services, APIs, and any associated software or platforms provided by HVACR.ai, LLC (“HVACR.ai,” “we,” “our,” or “us”). By creating an account, accessing, or using the App, you (“Customer,” “Company,” “Authorized User,” or “you”) agree to be bound by these Terms.

If you do not agree to these Terms, do not use the App.

2. Eligibility & Business Use

1. The App is offered strictly as a Business-to-Business (B2B) service.
2. Subscriptions may only be purchased by registered companies, including sole proprietors using their legal business identity.
3. Authorized Users must be:
   • Employees, recommended
   • OR contractors and other personnel operating under the company’s responsibility
4. The Company (the purchasing business) is responsible for all actions performed by its Authorized Users.

3. Account Registration

To create a Company Account, customers must provide accurate, current information including:

• Business Name
• Business Address
• Company Phone Number
• Billing Email
• Account Manager Contact (Name & Email)

The Company Account includes one Administrator (“Admin”) who manages subscription settings, billing, and Authorized Users.

We may terminate or suspend accounts for any reason, including but not limited to misuse, unsafe behavior, code-of-conduct violations, or nonpayment.

4. Authorized Users

Authorized Users are individuals granted access to the App by the Company’s Admin.

• Companies may add or remove Authorized Users at any time.
• The Company is fully responsible for all activities of Authorized Users.
• Sharing login credentials is strictly prohibited.

If an Authorized User leaves the company, it is the Company’s responsibility to remove their access.

5. Service Description

Diagnostics | Powered by HVACR.ai provides:

• AI-driven HVAC and refrigeration diagnostics
• Equipment-specific recommendations
• Image-based analysis
• Natural language assistance
• Data entry and input processing

The App requires internet access at all times.

While the AI is capable of highly advanced reasoning, AIs can hallucinate, misinterpret inputs, or produce inaccurate results.

6. Professional Use and Safety Requirements

YOU MUST NOT PERFORM ANY ACTION BASED ON THE APP’S OUTPUT UNLESS YOU ARE LICENSED, CERTIFIED, AND QUALIFIED TO DO SO.

All users agree to:

• Follow OSHA requirements
• Follow NFPA 70e
• Follow ICC national codes and all local jurisdiction codes
• Follow Lockout/Tagout procedures
• Follow arc-flash and electrical safety protocols
• Follow all licensing and certification requirements applicable to HVACR, electrical, and mechanical work
• Never perform repairs or adjustments they are not certified or legally allowed to perform

The App is a diagnostic assistance tool, not a replacement for:

• professional judgment
• field experience
• qualified inspections
• licensed engineering or refrigeration work

7. AI Limitations & Safety Disclaimers

You acknowledge and agree that:

1. AI can make mistakes, hallucinate, or produce incorrect outputs.
2. All outputs must be verified by a certified professional.
3. The App may provide equipment-specific suggestions that may or may not apply in all scenarios.
4. Following incorrect or unsafe instructions may cause harm, damage, or injury.

HVACR.ai is not liable for:

• property damage
• personal injury
• death
• system outages
• equipment damage or failure
• business interruption
• code violations
• or any consequences of relying on AI-generated information

Users assume full responsibility for their decisions and field actions.

8. Subscriptions & Billing

8.1 Overview

• Subscriptions are billed monthly or annually.
• Billing is based on the number of Authorized Users.
• Subscriptions auto-renew unless the Company requests manual invoicing or cancellation.

8.2 Auto-Renewal

By subscribing, you authorize HVACR.ai to automatically charge your payment method:

• Monthly subscriptions renew every month
• Annual subscriptions renew yearly

You may cancel future renewals at any time by contacting support.

8.3 No Refunds

All payments are final.
HVACR.ai does not offer refunds, pro-rated or otherwise.

8.4 Pricing Changes

We may update subscription pricing with at least 30 days’ notice. Continued use after notice constitutes acceptance of new pricing.

9. Image Uploads & User Content

Users may upload:

• Equipment photos
• Component images
• Screenshots
• Text and diagnostic inputs

We process uploaded content but do NOT store images long-term. Images are transmitted to third-party processors (OpenAI, n8n, Supabase, Airtable, etc.) for the purpose of generating AI outputs, then discarded.

Users must not upload:

• Customer PII
• Building access codes
• Sensitive operational security information
• Imagery barred by local or federal law

You agree to redact sensitive data before uploading.

10. Third-Party Services

The App interacts with and sends data to third-party processors, including but not limited to:

• Cloud storage services

• Network infrastructure providers

Use of these services is subject to their own terms, which you agree to by using the App.

11. Data Privacy & Deletion

• We retain only the minimum necessary data to operate your account.
• Uploaded images are processed temporarily and not stored.
• You may request deletion of personal/business data by contacting support.

Deletion is subject to limitations required by:

• billing compliance
• security
• audit logs
• U.S. regulatory requirements

12. Prohibited Activities

You may NOT:

• Attempt to reverse engineer or extract models
• Scrape model outputs to train competitive AI systems
• Share login credentials
• Upload malicious code
• Attempt unauthorized access to systems
• Use the App for illegal or high-risk activities
• Distribute or publish outputs as engineering-certified documents

13. International Use & Export Controls

You agree not to use the App in:

• U.S.-embargoed nations
• Countries prohibited by U.S. export-control laws
• Jurisdictions where the App would violate local regulation

14. Termination

We may suspend or terminate any account, including Company accounts or individual Authorized Users, for:

• Unsafe actions
• Abuse of the platform
• Violations of safety standards
• Non-payment
• Misuse of AI tools
• Any reason at our discretion

Upon termination:

• Access to the App is revoked
• No refunds are issued

15. Warranty Disclaimer

The App is provided “AS IS” and “AS AVAILABLE.”

HVACR.ai makes no warranties, express or implied, including:

• fitness for a particular purpose
• accuracy
• reliability
• completeness of outputs
• error-free or uninterrupted service

Your use of the App is at your sole risk.

16. Limitation of Liability

To the fullest extent permitted by law, HVACR.ai, LLC is not liable for:

• personal injury
• death
• equipment damage
• property damage
• business interruption
• lost revenue
• loss of data
• system failures
• incorrect diagnostics
• unsafe actions taken due to AI output

In no event shall our liability exceed the amount paid in the previous 12 months of your subscription.

17. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles.

18. Dispute Resolution

All disputes shall be resolved exclusively through binding arbitration, except either party may bring claims in Missouri small claims court.

Arbitration shall be:

• Conducted in Missouri
• Administered under standard commercial arbitration rules
• Final and binding

Class actions and class arbitrations are prohibited.

20. Changes to Terms

We may update these Terms at any time. Continued use of the App after changes constitutes acceptance of the revised Terms.
